Terms of Service

1. About the Service

VI AutoTrade is an online marketplace that helps people buy and sell vehicles in the U.S. Virgin Islands. Private owners, dealers, and other businesses (“Sellers”) publish vehicle listings, and people looking for a vehicle (“Buyers”) browse listings, save favourites, and request test drives.

VI AutoTrade is a venue only. We are not a dealer, broker, agent, or seller of vehicles, and we are not a party to any sale, deposit, financing, warranty, or other arrangement between Sellers and Buyers. We do not own, inspect, or certify any vehicle listed on the Service, and we do not verify the identity, background, title, or licensing of Sellers or Buyers unless we expressly say so.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You can sign in with a one-time code sent to your email address or through a supported third-party provider such as Google or Facebook. You are responsible for keeping access to your email and third-party accounts secure.
• You agree to provide accurate information and to keep it up to date. You are responsible for all activity that happens under your account.
• Tell us promptly at [email protected] if you believe your account has been accessed without your permission.

3. Seller responsibilities

If you publish a listing, you represent and agree that:

• You own the vehicle or are authorised by its owner to list and sell it, you hold or can deliver its title, and you have disclosed any loan or lien on it.
• Your listing is accurate and complete, including the price, year, make, model, mileage, condition, title status, VIN, known defects, and photos, and you will update or remove it promptly when anything changes or the vehicle is no longer available.
• You hold every licence, registration, and permit required to sell the vehicle (including any dealer licence), and you will comply with all applicable laws, including odometer disclosure, title transfer, and consumer protection laws. You will not discriminate against any person on the basis of race, colour, religion, sex, national origin, disability, or any other protected characteristic.
• You have the rights to every photo and description you upload.
• You will respond to test drive requests honestly and in good faith, and you will not ask Buyers to pay money before they have had a reasonable opportunity to see and drive the vehicle and review its title and any written agreement.

4. Buyer responsibilities

Buyers are responsible for their own due diligence. Before paying any money, you should see and drive the vehicle, have it inspected by a mechanic you trust, confirm that the VIN matches the title and that the Seller has the right to sell it, and read every agreement carefully. Never send a deposit to someone you have not verified, and report suspicious listings to us. You are responsible for holding a valid driver’s license for any test drive.

5. Test drives and communications

When you request a test drive, we share the details you provide (such as your name, email address, preferred times, and message) with the Seller so they can respond. Any test drive, sale, or agreement that follows is solely between you and the Seller. We may send you transactional emails about your requests, listings, and account.

6. Prohibited conduct

You agree not to:

• Post false, misleading, duplicate, or fraudulent listings, listings for vehicles that are not available to buy, or listings for stolen vehicles or vehicles with altered VINs or odometers.
• Use the Service to scam, harass, threaten, or discriminate against anyone.
• Upload content that is unlawful, infringing, obscene, or that contains another person’s private information without consent.
• Scrape, crawl, or harvest data from the Service, or use it to send unsolicited marketing.
• Interfere with the security or operation of the Service, probe it for vulnerabilities, or circumvent rate limits or other protections.
• Impersonate any person or misrepresent your affiliation with any person or organisation.

7. Your content

You keep ownership of the listings, photos, and other content you submit (“User Content”). By submitting User Content, you grant VI AutoTrade a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, modify (for example, to resize or crop photos), display, and distribute it in connection with operating and promoting the Service. This licence ends when you delete the content, except for copies kept in routine backups or as required by law.

8. Reports and moderation

Anyone can report a listing they believe breaks these Terms. We may review, edit, hide, or remove any listing or content, and suspend or close any account, at our discretion and without notice, including where we suspect fraud or a violation of law. We are not obligated to monitor the Service and do not endorse any User Content.

9. Paid plans and sponsored listings

The Basic plan lets Sellers list a limited number of vehicles for free. Sellers may purchase a paid plan for additional listings and features, and may pay to promote a listing so it appears more prominently. Promoted listings are labelled “Sponsored.”

• Payments are processed by our payment processor, Stripe. By making a purchase you also agree to Stripe’s terms. We do not store your full card details.
• Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• Promotions run for the period you purchase. Promotion improves a listing’s visibility but does not guarantee any number of views, inquiries, or sales.
• Except where required by law, fees are non-refundable, including for partial billing periods and for promotions that have started.
• We may change our prices with reasonable advance notice. Price changes take effect at your next billing period.
• You are responsible for any taxes that apply to your purchases.

10. Our intellectual property

The Service, including its design, software, logos, and text (other than User Content), is owned by VI AutoTrade or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose in accordance with these Terms.

11. Copyright complaints

If you believe content on the Service infringes your copyright, please email [email protected] with a description of the work, the location of the infringing material, your contact details, a statement that you have a good faith belief the use is not authorised, and a statement, under penalty of perjury, that your notice is accurate and that you are authorised to act on the owner’s behalf. We will respond in accordance with the Digital Millennium Copyright Act.

12. Third-party services

The Service may contain links to, or rely on, third-party websites and services such as sign-in providers, maps, and payment processors. We are not responsible for their content, policies, or practices.

13. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that listings are accurate, that vehicles are available, roadworthy, or as described, or that the Service will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent permitted by law, VI AutoTrade and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or deposits, arising out of or relating to the Service, any listing, or any interaction or agreement between users. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim arose or one hundred U.S. dollars ($100).

15. Indemnification

You agree to indemnify and hold harmless VI AutoTrade and its owners, employees, and partners from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, your dealings with other users, or your violation of these Terms or any law.

16. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe it is necessary to protect the Service or its users. Sections that by their nature should survive termination, including those on content licences, payments owed, disclaimers, limitation of liability, and indemnification, will survive.

17. Governing law and disputes

These Terms are governed by the laws of the United States Virgin Islands and applicable U.S. federal law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in the U.S. Virgin Islands, and you consent to their jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, notify you by email or through the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.

19. General

These Terms, together with our Privacy Policy, are the entire agreement between you and VI AutoTrade about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
